PodLot Studios Ltd. Terms & Conditions

1. Acceptance of Terms

By accessing or using PodLot Studios Ltd.'s ("PodLot") services, facilities, or website, you agree to comply with and be bound by these Terms & Conditions ("Terms"). If you disagree with any part, you may not use our services. Continued use constitutes acceptance of future revisions.

2. Services Provided

PodLot provides "Done For You" podcast recording, editing, production, and distribution services ("Services") under the following conditions:

  • Clients must select a subscription plan (Creator, Showrunner, Enterprise) or pay à la carte fees.
  • Services are subject to availability and PodLot's sole discretion.

3. Intellectual Property & Content Licensing

3.1 Client Content Ownership

Clients retain ownership of all content ("Content") created using PodLot's Services.

3.2 PodLot's License to Use Content

By accepting these Terms, Clients grant PodLot a non-exclusive, perpetual, royalty-free, worldwide license to:

  • Reproduce, edit, distribute, and publicly display Content for promotional purposes (e.g., social media, website, ads).
  • Use Client's name, logo, and branding in marketing materials.

Opt-Out Clause:

Clients may opt out of this license for a fee of £150/month (added to their subscription). Opt-out requests must be submitted in writing to [legal@podlot.co.uk].

Reasoning:

PodLot operates a single-service business model reliant on showcasing client work to attract new customers. This license ensures mutual benefit:

  • PodLot gains marketing material to demonstrate service quality.
  • Clients receive free exposure to PodLot's audience.

Opt-out fees offset lost marketing opportunities and administrative costs.

4. Payment & Fees

  • Subscription plans auto-renew monthly/annually. Cancel 30 days before renewal.
  • Late payments incur 5% monthly interest.
  • Chargebacks result in immediate service termination and a £50 fee.

5. Cancellation & Rescheduling

  • Sessions canceled <48 hours before booking forfeit 50% of fees.
  • PodLot may reschedule due to technical issues without liability.

6. Liability Limitations

PodLot is not liable for:

  • Content loss due to technical failures (backups are the Client's responsibility).
  • Damages exceeding fees paid in the prior 6 months.
  • Third-party actions (e.g., hosting platforms, advertisers).

7. Termination

PodLot may terminate services for:

  • Violation of these Terms.
  • Non-payment >30 days.
  • Illegal or defamatory Content.

8. Governing Law & Disputes

  • Governed by English law (Chelmsford, Essex jurisdiction).
  • Disputes resolved via mediation; arbitration if unresolved.

9. Updates to Terms

PodLot may update Terms at any time. Continued use constitutes acceptance. Clients will be notified via email.
